TERMS AND CONDITIONS

for the use of the internet platform retrogymauto.com

I. GENERAL PROVISIONS

These Terms and Conditions govern the relationship between “RetroGym Auto Garage Ltd.”, having its registered office and principal place of business at 1 Macedonia Square, Sofia, Bulgaria, hereinafter referred to as “RetroGym Auto”, and any person using the internet platform retrogymauto.com, hereinafter referred to as the “User”.

By accessing the website and/or registering an account, the User declares that they have read, understood and accepted these Terms and Conditions in their entirety.

II. SERVICE PROVIDER INFORMATION

III. SCOPE OF ACTIVITIES

retrogymauto.com is an online platform for:

1. Publishing advertisements for the sale of classic and vintage vehicles (more than 30 years old);
2. Connecting sellers and buyers;
3. Acting as an intermediary in transactions;
4. Providing additional services upon request;
5. Publishing advertisements for services related to vehicle repair, restoration and maintenance.

For the purposes of these Terms and Conditions, the term “Platform” shall mean the website retrogymauto.com.

RetroGym Auto may act as:

• Platform operator only;
• Transaction intermediary;
• A contracting party to a transaction where the vehicle is owned by RetroGym Auto.

 

IV. REGISTRATION

1. Registration is available only to persons who have reached the age of majority.
2. Registration is subject to approval by an administrator.
3. The User shall be responsible for the accuracy and completeness of the information provided.
4. RetroGym Auto reserves the right to refuse, suspend or terminate any registration without prior notice.

 

V. PUBLICATION OF LISTINGS

1. Listings may only be published by approved Users of the Platform.
2. Listings may be published free of charge or through paid publication services under the following conditions:

• Free publication is subject to limitations including, but not limited to, the number of active listings, listing duration, number of photographs and other functional restrictions determined by the Platform;
• Paid publication is available through the purchase of a prepaid package granting the right to maintain a specified number of active listings during a 30-day period, in accordance with the terms of the relevant package;
• Paid publication allows the User to add links to external content, including videos hosted on YouTube, which may be displayed within the relevant listing on the Platform. The User represents and warrants that they possess all necessary rights, permissions and authorisations to use such content and that such content does not infringe any copyright, intellectual property right or other rights of third parties.

3. The User shall bear full responsibility for the content of published listings.
4. The Platform shall not be liable for false, misleading or unlawful information contained in listings.
5. The Platform reserves the right, at its sole discretion and without prior notice, to remove, edit or restrict access to any listing.

 

VI. PAID SERVICES

1. The Platform offers paid services, which may include:

• prepaid listing publication packages;
• priority listing placement;
• enhanced visibility (advertising services);
• sales intermediation services;
• other additional functionalities.

2. The fees for paid services are published on the Platform and may be amended by RetroGym Auto from time to time.
3. Prepaid listing packages grant the User the right to maintain up to a specified maximum number of simultaneously active listings during a period of thirty (30) days.
4. During the prepaid period, the User shall be liable for payment of the full price of the selected package, regardless of the actual number of active listings used, provided that such number does not exceed the maximum number included in the package.
5. Listings published in excess of the maximum number included in the prepaid package shall be charged separately in accordance with the prices published on the Platform, and the corresponding fees shall be calculated after the expiry of the relevant prepaid period.
6. The purchase of a prepaid listing package constitutes the conclusion of a contract for the continuous provision of services. The Platform shall charge fees in accordance with the applicable tariff for each subsequent thirty (30)-day period, commencing on the date of purchase of the first package. The recurring provision of the service shall cease if, before the beginning of the next thirty (30)-day period, the User:

• deactivates all listings published under the relevant package; and
• switches to the free publication mode.

7. The purchase of a paid service constitutes a distance contract within the meaning of the applicable legislation.
8. The User expressly requests that the performance of the paid services commence immediately upon completion of payment.

 

VII. ESCROW MECHANISM

1. Where RetroGym Auto acts as an intermediary, payments shall be transferred to a dedicated escrow account maintained by UniCredit Bulbank.
2. The funds shall be held until the Buyer confirms receipt of the vehicle.
3. Upon such confirmation, the funds shall be released to the Seller.
4. In the event of a dispute, RetroGym Auto may temporarily withhold the funds until the relevant circumstances have been clarified.
5. The escrow mechanism does not constitute a banking or payment service provided by RetroGym Auto.

 

VIII. ADDITIONAL SERVICES

1. Upon the User’s request, RetroGym Auto may provide directly or arrange through partners and subcontractors:

• technical inspections;
• vehicle valuations;
• transportation services;
• insurance intermediation services;
• document preparation services;
• other services related to the purchase, sale, registration, maintenance and operation of vehicles.

2. The Additional Services constitute distance contracts within the meaning of the applicable legislation.
3. The Additional Services may be performed either by RetroGym Auto or by independent third parties.
4. By ordering a specific Additional Service, the User expressly requests that performance of the service commence before the expiry of the withdrawal period.
5. Upon full performance of the service, the right of withdrawal shall cease where the User has expressly consented in advance to the commencement of performance and has acknowledged the consequences thereof.

 

IX. CONFIRMATION OF CONTRACTS

1. Following the conclusion of a distance contract for Paid Services or Additional Services, the Platform shall provide the User with confirmation of the contract on a durable medium, including by e-mail, PDF document or through the User account, provided that the information remains accessible for future reference and cannot be unilaterally modified by the Platform.

 

X. RIGHT OF WITHDRAWAL

1. Contracts for Paid Services and Additional Services constitute distance contracts within the meaning of the applicable legislation.
2. The User shall have the right to withdraw from the contract within fourteen (14) days, except where otherwise provided by law or these Terms and Conditions.
3. Where performance of a service has commenced, at the User’s express request, before the expiry of the withdrawal period, the User shall pay an amount proportionate to the services actually provided up to the time the right of withdrawal is exercised.
4. Where a service has been fully performed before the expiry of the withdrawal period, the right of withdrawal shall cease, provided that the User expressly requested the commencement of performance and acknowledged the consequences thereof.
5. The unused portion of prepaid services that, by their nature, permit partial performance shall be refundable in accordance with the applicable legislation.

 

XI. LIMITATION OF LIABILITY

RetroGym Auto:

1. Does not guarantee the authenticity or accuracy of listings;
2. Does not guarantee the technical condition of any vehicle unless a technical inspection has been expressly carried out;
3. Shall not be liable for any loss of profit, loss of opportunity or indirect damages;
4. Shall not be liable for disputes between Users;
5. Shall not be liable for the acts or omissions of subcontractors beyond the scope of the agreed services.

To the extent permitted by applicable law, RetroGym Auto’s liability shall be limited to the amount of the fee paid by the User for the relevant service.

XII. INTELLECTUAL PROPERTY

All rights, title and interest in and to the content of the Platform belong to RetroGym Auto. Copying, reproduction, distribution or use of such content without prior written authorisation is prohibited.

XIII. PERSONAL DATA PROTECTION

The processing of personal data is governed by a separate Privacy Policy and by Regulation (EU) 2016/679 (GDPR).

XIV. TERMINATION

RetroGym Auto reserves the right to suspend or terminate a User’s access to the Platform in the event of a breach of these Terms and Conditions.

XV. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performance caused by events of force majeure beyond its reasonable control.

XVI. GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Bulgaria.
Any dispute arising out of or in connection with these Terms and Conditions shall be submitted to the competent courts of Sofia, Bulgaria.
For Consumers residing within the European Union, the mandatory consumer protection provisions of the country of their habitual residence shall remain applicable.

XVII. FINAL PROVISIONS

RetroGym Auto reserves the right to amend these Terms and Conditions at any time.
Any amendments shall enter into force upon publication on the Platform.
